Transition Deed
Further to the Circular to Shareholders dated 19 March 2026, Brisbane Markets Limited (BML) and the industry representative organisation, Brismark, reached an agreement and renegotiated a further Transition Deed, following the lapsing of the previous deed in June 2025. The new Transition Deed, executed on 18 March 2026, documents the process whereby, subject to relevant approvals by each of Brismark’s Members and BML’s shareholders and other conditions precedent, the four Industry Shares which are held by Brismark as a second class of shares, would be cancelled if BML was to list on the Australian Stock Exchange (ASX).
As contemplated by the Transition Deed, Brismark sought Member approval to approve all the transactions contemplated by the Transition Deed at a General Meeting of Members held today.
The matter was discussed at length, with 39 of Brismark’s 44 Members present either personally or by Proxy at the General Meeting. A vote was conducted, resulting in 37 Members out of the 39 Members represented at the meeting voting in favour of supporting the implementation of the Transition Deed, representing 94.8% of the total votes cast. Accordingly, the Resolution was passed and BML was advised of the outcome accordingly.
Next Steps
To progress this matter, BML will now commence working towards holding a General Meeting of shareholders to consider, and if thought fit, address all matters which will facilitate progressing with the Transition Deed, which will include changes to BML’s Constitution. At this stage, this meeting is expected to be called later this year. More information will be provided to shareholders regarding same in due course.
