Brisbane Markets Limited (BML) has been the owner of the Brisbane Markets site since 2002 and is responsible for its ongoing management and development.
Brisbane Markets occupies 77 hectares of land at Rocklea. As the proprietor of the site, BML has over 250 leases in place including selling floors, industrial warehousing, retail stores and commercial offices.
BML operates on a commercial basis as an unlisted public company, with 54,500,000 issued shares and over 400 shareholders.
BML is committed to continued investment in the Brisbane Markets site to provide the infrastructure and services necessary to support and grow markets-based businesses.
Brisbane Markets is an economic hub of Queensland, facilitating the trade of more than $2 billion worth of fresh produce annually, which has far reaching effects, supporting local and regional businesses of the horticulture industry.

Financial performance for the year ended 30 June 2017
BML has been responsible for the management and development of the Brisbane Markets site since its purchase from the state government in 2002.
Responsible and effective responses to notifiable diseases, biosecurity threats, and disasters, both natural and man-made, are key aspects of our corporate governance, as is the ethical leadership of our Board of Directors and Senior Management.
Through raising funds for charities, sponsoring local organisations, creating meaningful and productive partnerships with industry organisations, and helping to preserve the history of central markets in Queensland, BML seeks to contribute to and strengthen the social fabric of our local community in Rocklea and Brisbane as well as throughout Queensland’s growing communities.
In line with BML’s efforts to improve the environmental footprint of Brisbane Markets, all new developments on site undergo environmental management planning to minimise their impact on the local environment.
To increase sustainability and reduce electricity costs, solar energy has been utilised as a renewable energy resource at Brisbane Markets since the first pilot project was launched in 2015. The 15,603 solar panels now installed on 19 buildings across this site generate over 11% of the Brisbane Markets’ electricity usage.

How to invest
BML operates on a commercial basis as an unlisted public company, with 54,500,000 listed shares and over 400 predominantly industry-related shareholders, including growers, wholesalers, secondary wholesalers, retailers and the industry organisation Brismark.
Subject to the future financial performance of the company and its businesses, as well as the ongoing future cash flow requirements of the company, the Directors intend to maintain dividend payments being a proportion of Realised Retained Profits (Realised Retained Profits are calculated based on profits generated from core operational activities less financing costs and applicable income tax, plus actual cash distributions received from investments in other entities. This excludes property valuation impacts and equity accounting impacts).

Share trading
As an unlisted public company, shares in BML are not traded on the Australian Stock Exchange or any other share trading exchange system. BML does, however, maintain a register of parties interested in buying shares in the company and offers guidance in the process.
If a shareholder wants to sell shares in the company they can do so by private treaty where they have identified a buyer, or alternatively advise BML and provide information which will be circulated to all parties who have registered an interest in buying shares. The individuals concerned can then negotiate a price and progress the sale.
If a sale is finalised, BML’s share registry, Link Market Services, must be sent a copy of the original transfer form and share certificate so that the change of ownership can be recorded on the company’s share register.

Despite the year’s challenges, Brisbane Markets Limited has achieved a strong financial outcome and solid growth over the 2022 financial year and the 20 years since the company’s purchase of the Brisbane Markets site from the State Government. BML’s achievements and resilience are testament to the strength and experience of industry-based ownership of the Brisbane Markets and reflect of the ongoing hard work, prudent decision-making and sound investment strategies implemented by the BML Board and senior management team.

Strategic Plan
BML completed a review of its Strategic Plan in May 2020. The Plan highlights BML’s Mission and the Board’s strategic focus over the five-year period of 2018/19-2023/24.
The plan seeks to build on the growth, direction and success of the organisation since acquiring the Markets in 2002. Five strategic priority areas have been identified as follows:
These strategic priorities are supported by a range of projects.
Implementation of the plan will be an ongoing process as the projects are actioned, the required policies are agreed, opportunities are identified and delivery programs are developed and implemented.
A range of results-based progress indicators and milestones are also listed on the Plan to benchmark the Plans implementation progress and success.
Governance
The Board of Directors is responsible for corporate governance matters. It has established principles within which the Board and management operate to ensure that business is carried out in the best interests of shareholders and other stakeholders, with proper sharing of responsibilities between Directors and management.
The Board of Directors has in place a broad range of policy documents across a variety of areas which are reviewed annually. Interested parties should refer to BML’s Annual Report for more information.
As an unlisted public company, BML reports in line with the requirements of a disclosing entity as defined by the Australian Securities and Investment Commission (ASIC).

Bruce has been a Non-Executive Director of Brisbane Markets Limited since November 2012. Bruce has extensive experience in chartered accounting covering many industry sectors, and consults to and serves on the boards of several private and/or family-owned businesses.
Bruce is currently the Chairman of Queensland Rugby League. Formerly, Bruce was the Chair of BDO Queensland, Managing Partner of Horwath Brisbane, Chairman of Horwath Australia, and the Deputy Chairman and Director of 20 years of the Queensland Academy of Sport. Bruce is a regular speaker at industry conferences and professional development seminars nationally and has written many articles on a wide range of family business issues.
Bruce has a Bachelor of Commerce, is a Fellow Chartered Accountant and a Fellow of the Australian Institute of Company Directors. Bruce is also an Adjunct Professor at the Australian Centre for Family Business, Bond University.

Stuart brings many years of experience as a senior executive in the property sector, specifically within ASX-listed groups, government agencies and not-for-profit organisations. Stuart has extensive expertise in the management and development of complex property portfolios through his role as the Chief of Development and Capital Planning for Southern Cross Care Qld and previously as the Director of Building, Planning Facilities and Property with the Roman Catholic Archdiocese of Brisbane.
Stuart is Non-Executive Director on the board of several organisations, including Bolton Clarke (formerly RSL Care RDNS), Deaf Connect, Nazareth Care Australasia, National Trust of Queensland, Sisters of St Joseph Stewardship Council and Property Advisory Panel and the Heritage Council of Queensland. Additionally, he is a member of the Property Council of Queensland, sitting on the Social Infrastructure Committee and the Queensland Catholic Education Commission grant assessment committee. Stuart has a Bachelor of Economics, Post Graduate Diploma in Applied Finance and Investment, Diploma in Project and Construction Management, and is also a Fellow of the Australian Institute of Company Directors.

Nicole is a Partner in the Corporate Advisory and Governance practice of HopgoodGanim Lawyers and has worked at the firm for more than 25 years. Throughout her career she has built a highly successful corporate law practice advising public and private companies on corporate structuring, due diligence and corporate governance, capital raisings and mergers and acquisitions. Nicole’s experience includes advising ASX-listed organisations, mid-cap companies, international firms and overseas entities seeking to expand into the Australian market.
In 2019, she was recognised as a Leading Commercial Lawyer – Queensland in Doyle’s Guide and was most recently named in The Best Lawyers™ in Australia 2022-2024 for Corporate Law and corporate/governance practice. Nicole is the Deputy Chair of The Gregory Terrace Foundation and is on the board of the Royal Brisbane and Women’s Hospital Foundation (RBWHF).
Nicole holds both a Bachelor of Commerce and a Bachelor of Law (Honours) and was admitted the Supreme Court of Queensland and the High Court of Australia in 1999. She is a member of the Australian Institute of Company Directors and is a Fellow of the Australian Institute of Management.

Noel has comprehensive knowledge of the fruit and vegetable industry, having been Managing Director of RW Pascoe, a leading Brisbane Markets fruit and vegetable wholesaling business since 1989. During this time he has been involved with all aspects of running this successful business.
Noel is a Director of Smart Berries Pty Ltd, one of the larger berry producing companies in Australia and New Zealand.
He has also been a Director of Brismark since 2000.
Noel is a member of the Australian Institute of Company Directors.

Stephen brings over 25 years’ experience to the Board and a deep undertaking of the wholesaling sector of the fresh produce industry. He has broad commercial experience and business acumen with a detailed understanding of board and corporate governance, succession planning and expertise in a range of compliance matters including quality assurance, food safety and work health and safety.
As Managing Director of Murray Bros, Stephen has overseen the growth of the company which is now one of the largest wholesalers in the Brisbane Markets involved in both the domestic and export markets and in servicing all sectors of the industry.
Stephen’s industry knowledge is supported by a broad understanding of the law and legal issues with a special focus on the history and issues surrounding the Horticulture Code of Conduct both practically and through Government lobbying.
He has been a Director of Brismark since 2004 and has held the role of Deputy Chair since 2018. Stephen is also a past Director of Fresh Markets Australia, a national organisation representing the interests of fruit and vegetable wholesalers.
Stephen holds Bachelor of Laws from the University of Queensland and has been admitted to both the Supreme Court of Queensland and the High Court of Australia.

Chief Financial Officer
Reporting to the Managing Director and CEO, Murray is a Chartered Accountant and Chartered Secretary with over 30 years’ experience in senior finance roles across a number of industries including retail, manufacturing, franchising, property and freight service industries.
Murray’s strengths are in the areas of financial management, accounting, commercial management, dispute resolution, legal interpretation, strategic and operational business, governance, risk, compliance, and company secretarial duties.
Murray has strong financial acumen and an ability to understand key risks and opportunities, and to see how a business can position itself strategically for changes in the external business environment. Murray has worked for Brisbane Markets Limited since 2014 and manages finance, contract management, and human resources functions of the organisation in addition to overseeing the Saturday Fresh Market operation.
Murray has a Bachelor of Business (Accounting), is a Chartered Accountant, and is a Fellow of the Governance Institute of Australia.
Chief Operating Officer
Reporting to the Managing Director and CEO, Tricia advises the Managing Director and CEO on strategic, tactical and operational matters relating to Brisbane Markets property lease agreements, site operations and site maintenance.
Tricia was appointed as COO in 2019, with overarching responsibility for the Operations, Property and Maintenance Departments. With over 21 years’ experience in commercial property management, Tricia has had extensive involvement in the development of the standard lease documents for the Brisbane Markets and the coordination of major lease renewals.
During her tenure, Tricia has participated in a significant number of development and redevelopment projects at the Brisbane Markets including large warehouse projects, commercial projects, fuelling facilities and the Multi-level Car Park. In addition, Tricia contributes to sourcing new tenants for these projects and negotiating lease terms.
Tricia also develops and reviews a range of organisational policies, remains responsible for the ongoing review of the Brisbane Markets Regulations and Traffic Management Plan, and has a focus on parking and access controls for the Brisbane Markets.
Chief Administration Officer
Reporting to the Managing Director and CEO, Joady holds the dual role of Chief Administration Officer for BML and Brismark, is the Assistant Company Secretary for BML and the Secretary for Brismark. Joady works closely with the Managing Director and CEO and the Board of Directors for both BML and Brismark and is responsible for the management of the corporate office and all board administrative matters, including the preparation of all board and committee reporting.
Joady oversees BML’s marketing and communications team and administration team, including the Site Service Centre. She also oversees BML’s HR team jointly with the CFO. Similarly, she is responsible for Brismark’s administration team and more broadly supports Brismark organisational management. Joady is accountable for BML’s shareholder dealings and in reinforcing the strategic direction of BML and Brismark.
Joady has over 25 years’ experience in senior administrative management roles and extensive experience in Board administration. She has been working with BML since 2012.
Joady has a Masters Degree in Business Administration, a Graduate Diploma in Applied Corporate Governance and Risk Management, is an Associate of the Governance Institute of Australia and is a Justice of the Peace (Qualified)
Chief Information Officer
Reporting to the Managing Director and CEO, the Chief Information Officer supports, develops, implements and manages all BML’s information technology and communication systems including all related hardware and software systems and applications, cloud services, servers, workstation fleet, phone systems, access control, remote sites, CCTV camera equipment, cybersecurity presence, and all other technical requirements.
Luke has worked for BML for over 10 years, and has led several large technology projects, including access control upgrades, CCTV installations, cybersecurity initiatives, licence plate recognition implementation, and many more.
Luke and his team work with each department to explore business solutions utilising automation, cloud, and various other technologies.
Luke holds several internationally-recognised industry certifications and has 20 years’ experience in the IT sector.
Retail Market Manager
Reporting to the Chief Financial Officer (CFO), the Retail Markets Manager is responsible for the management of efficient, compliant and safe retail market operations, ensuring continued profitable operation and success at the Saturday Fresh Market.
Adam has worked for BML for over 10 years, overseeing market relocations, events and promotions for all retail market brands.
With a focus on small business and event management, Adam has developed department procedures, policies and training documents, and business operating policies. Adam works with external regulators to ensure operating compliance of the market and stallholder businesses.
Focusing on customer centricity, and B2C sales for the organisation’s customer facing department, Adam sources start-ups and existing businesses to launch and operate from the Saturday Fresh market to maintain occupancy, presentation, and profitability for the evolving customer shopping environment.
Adam holds qualifications in tourism, travel, hospitality, and retail and has over 20 years’ work experience in the retail, hospitality, and event sectors.
